The Research Center of the Ministry of Justice has issued a comprehensive publication that explains the provisions of the Civil Transactions Law article by article. This detailed commentary targets judges, legal practitioners and the wider public to support uniform understanding and application of the new rules. The center framed the work as a practical guide that breaks down complex legal concepts into accessible analysis. Such resources play a key role in the kingdom’s judicial system where the law has replaced previous reliance on uncodified principles.

The Civil Transactions Law was promulgated under Royal Decree No. M/191 dated June 18, 2023, and entered into force on December 16, 2023 after a 180-day preparatory period. The legislation contains 721 articles that address contract formation, obligations, torts, property rights and related civil matters. A notification submitted to the World Trade Organization described the law as encompassing rules on the application of provisions, persons, things, money and various categories of rights. The regulation repealed all prior contradictory rules while allowing limited retroactive application exceptions.

A January 2024 analysis by King & Spalding found that the law codifies a duty for parties to negotiate contracts in good faith, with liability possible for unjustified interruptions that cause losses. The briefing noted recognition of framework agreements and agreements to agree alongside traditional offer-and-acceptance principles drawn from established legal practices. Such provisions aim to bring greater predictability to commercial dealings that previously depended on case-by-case judicial interpretation.

A 2024 briefing by Clifford Chance described the law as a milestone in Saudi Arabia’s Vision 2030 reforms that enhances certainty for both local and foreign investors in commercial transactions. The firm reported that the legislation came into force on December 15, 2023, and functions as the primary reference for civil disputes by superseding conflicting regulations. The measure forms part of a series of codifications that also include rules on personal status and evidence issued in prior years.

An article in the Arab Law Quarterly in 2024 by authors Kilian Bälz and Farah Fawzy observed that the law provides the first comprehensive codification of contract, tort and property rules, replacing direct application of Sharia principles in those areas by courts. The piece highlighted how many provisions draw inspiration from Egyptian civil law while retaining core Sharia elements including 41 guiding maxims at the law’s conclusion. This structure, the authors noted, seeks to balance modernization with traditional legal foundations.

The Research Center’s publication builds directly on the law’s implementation by offering expanded explanations that address potential ambiguities in daily application. It follows the ministry’s earlier steps to revise related regulations across government entities within the initial 180 days after issuance. The center continues to produce materials that support the transition to the codified system across Saudi courts and legal practice.
